On this to-do list is the need to allocate rights and responsibilities among owners, including transfer restrictions, cross-purchase rights, the use of insurance to fund buy-outs, valuation procedures, drag-along and tag-along rights and dispute resolution processes in the event of disagreement. These rights and responsibilities are hammered out in shareholder agreements and limited liability company agreements.
The firm’s Executive Compensation attorneys represent executives, management teams, private equity groups and strategic buyers, and support clients by:
