Entity Formation Shareholder Agreements

At inception, the owners of every business are faced with a daunting to-do list. Whether the founders of a new entity or the acquirors of a going concern, equity players are occupied envisioning the how to make their enterprise a success. On this to-do list is the need to allocate rights and responsibilities among owners, including transfer restrictions, cross-purchase rights, the use of insurance to fund buy-outs, valuation procedures, drag-along and tag-along rights and dispute resolution processes in the event of disagreement. These rights and responsibilities are hammered out in shareholder agreements and limited liability company agreements.

Executive Compensation
