The Corporate Trust Services group specializes in advising corporate trustees in all aspects of their trust, custodial, administrative and agency business .  An experienced team of attorneys provides a full range of services to corporate trustees across numerous product lines, including corporate debt transactions, municipal financings, structured finance matters, and a variety of escrow and specialized agency transactions.

Our attorneys have considerable experience representing corporate trustees that serve in trustee and agency roles in a variety of financial transactions, including paying agent, exchange agent, registrar, depositary, account bank, escrow agent, security trustee and collateral agent.

Our experience encompasses all varieties of corporate debt, including high yield debt, secured and unsecured, subordinate and convertible debt, TIA-qualified and privately placed, Rule 144A and Regulation S offerings and cross-border transactions.  We also represent our trustee clients in the full array of municipal bond transactions, including industrial development, housing bond programs, health care and educational facility projects, as well as other types of tax exempt and taxable bond transactions.  We advise our corporate trust clients in the full range of structured transactions , including the securitization of residential and commercial mortgage loans, collateralized debt obligations and other financial assets.

Our firm’s attorneys are seasoned and knowledgeable in identifying, analyzing and counseling corporate trust service providers regarding the nature and satisfaction of such clients’ document-based duties and fiduciary responsibilities.   We also have a broad understanding of the latest developments in the legal, administrative and transactional environment in which corporate trustees participate.

An important part of our corporate trust practice also involves advising indenture trustees in a broad range of default situations, litigation and bankruptcies.
